TRS Investments Limited (TRS) was an NZX-listed company. HuaHan International Holdings (Hong Kong) Co. Limited (HuaHan) was a company registered and incorporated in Hong Kong.
HuaHan proposed to acquire 666,990,766 ordinary shares in TRS for a total consideration of $570,000 (the HuaHan Acquisition). The HuaHan Acquisition would result in HuaHan holding 55% of the shares in TRS. HuaHan previously did not hold any shares in TRS.
The Huahan Acquisition was approved at a shareholder meeting held on 13 July 2016.
