Infratil Limited proposed three transactions under which H.R.L. Morrison & Co Limited:
- would acquire shares in Infratil from Utilico Investments Limited in two tranches;
- would increase the maximum percentage of total voting rights that it might hold or control as a result of an allotment of shares pursuant to an exercise of warrants; and
- would increase the maximum percentage of total voting rights that it might hold or control as a result of the continuation of Infratil’s share buyback programme.
Shareholders approved the proposed transactions at the annual shareholders’ meeting on 15 August 2011.
