On 1 October 2013, Cooks Food Group Limited (Cooks) held a shareholders’ meeting to consider resolutions to approve various acquisitions and allotments involving the following companies (among others):
- DSL Management Limited
- Esquires Coffee Houses Ireland Limited
- Esquires Coffee (UK) Limited
- Progressive Processors Limited
Cooks was an NZX-listed shell company and the acquisitions represented a backdoor listing of Franchise Development Limited and the above companies into Cooks.
At the meeting, shareholders approved the resolutions in respect of the acquisitions and allotments. On 9 October 2013, Cooks changed its name to Cooks Global Foods Limited.
The Panel approved Simmons Corporate Finance to prepare a rule 18 independent adviser’s report on the merits of the transactions.
