Takeovers Code - the Takeovers Code Approval Order 2000

Takeovers Act 1993 - this act establishes the Takeovers Panel and sets out its functions and powers. Part II defines the objectives of a takeovers code. (Note: this is the current version of the act as amended by subsequent legislation).

Takeovers (Fees) Regulations 2001 - these regulations set the fees and amounts payable to the Takeovers Panel under the Takeovers Act 1993.

Administrative Guidelines for the Takeovers (Fees) Regulations 2001 - these guidelines show how the regulations apply in practice.

Historical Amendments

Takeovers Amendment Act 2001 - this act amends the Takeovers Act 1993 including amendments to allow the Takeovers Panel to sit in divisions, to share certain information with the Securities Commission, to request inspections by the Registrar of Companies, and to grant exemptions from the Takeovers Code.

Securities Amendment Act (No 2) 2001 - this act amends the Securities Act 1978 to enable the Securities Commission, as one of its functions, to provide administrative and support services to the Takeovers Panel.

Takeovers Amendment Act 2002 - this act amends the Takeovers Act 1993, including amendments transferring the power to amend the Takeovers Code to the Minister of Commerce, increasing the maximum number of Panel members to 11, and giving the Panel powers to carry out its own inspections and accept enforceable undertakings.

Crown Entities Act 2004 - this act provides a framework for the establishment, governance and operation of crown entities, including the Takeovers Panel. Schedule 6 sets out the amendments required to the Takeovers Act 1993.

Takeovers Amendment Act 2006 - This act significantly amends the Takovers Act 1993 and the Takeovers Code. The amendments result in changes to the definitions of "code company" and "specified company" in the Code and act, respectively, and significantly amend the powers of the Panel and the courts for enforcing the Code.

Takeovers Code Approval Amendment Regulations 2007 - These regulations amend the Takeovers Code set out in the Schedule of the Takeovers Code Approval Order 2000. They come into force on 1 July 2007.
